- Material means significant. - One day late on a closing is not significant.

- Do not let a close of escrow deadline pass without address. California laws have determined that this constitutues a waiver of the "Time is of the Essence" provision in the contract.
- Notices
- Email communications to convey last minute issues are okay. Text message communications to convey important issues should be avoided at all costs.
